1. Acceptance of Terms

By using this website, you represent that you are a business entity or a professional acting on behalf of a business. If you do not agree to these terms, please do not use our services or website.

2. Nature of Service & Quotes

Lumberpanel provides information, technical specifications, and wholesale pricing for plywood and industrial wood products.

  • Request for Quote (RFQ): Submitting an RFQ through the website is an inquiry and does not constitute a binding sales contract.
  • Validity: All price quotes provided via email or WhatsApp are valid for the period specified in the quote (typically 7–15 days) due to the volatility of raw material costs and international freight rates.
  • Binding Agreement: A binding contract is only formed once a formal Proforma Invoice (PI) or Sales Contract (SC) is signed by both parties and the initial deposit is received.

3. Product Specifications & Natural Variations

Plywood is a natural wood product. While we adhere to strict international grading standards:

  • Natural Variations: Minor variations in grain, color, and texture are inherent to wood and do not constitute defects.
  • Tolerances: All products are subject to industry-standard manufacturing tolerances (e.g., ±0.5mm for thickness) unless otherwise specified in the technical data sheet of your order.
  • Sample vs. Bulk: Samples are provided as a general representation. Bulk production will match the agreed-upon grade, but slight variations from the sample may occur.

4. Payment Terms

Unless otherwise agreed in writing, our standard payment terms for international orders are:

  • T/T (Telegraphic Transfer): Typically a 30% deposit to start production, with the remaining 70% balance due against the copy of the Bill of Lading (B/L).
  • L/C (Letter of Credit): Irrevocable L/C at sight from a reputable international bank may be accepted for specific order volumes.
  • Currency: All transactions are conducted in USD unless specified otherwise.

5. Shipping, Risk, and Incoterms

All shipments are governed by Incoterms 2020.

  • The specific term (e.g., FOB, CIF, CFR) will be clearly stated on your Proforma Invoice.
  • Transfer of Risk: For FOB shipments, the risk of loss or damage transfers to the buyer once the goods pass the ship’s rail at the port of loading.
  • Delivery Timelines: Lead times provided are estimates. Lumberpanel is not liable for delays caused by shipping lines, customs inspections, or port congestion.

6. Intellectual Property

The content on this website—including but not limited to text, high-resolution product photography, logos, and technical drawings—is the exclusive property of Lumberpanel.

  • You may download content for the sole purpose of evaluating a purchase.
  • Unauthorized reproduction or use of our media for your own commercial marketing is strictly prohibited.

7. Limitation of Liability

Lumberpanel shall not be liable for any indirect, incidental, or consequential damages (including loss of profit or business interruption) resulting from the use of our products or delays in shipping. Our maximum liability shall not exceed the total purchase price of the specific order in question.

8. Force Majeure

Neither party shall be liable for failure to perform its obligations if such failure is caused by events beyond reasonable control, including but not limited to fire, flood, strike, government intervention, or global logistics disruptions.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Lumberpanel is registered. Any disputes arising from these terms or our sales contracts shall be settled through friendly negotiation. If a resolution cannot be reached, the dispute shall be submitted to the relevant arbitration commission in our registered jurisdiction.

10. Modifications

Lumberpanel reserves the right to update these Terms at any time. Changes will be effective immediately upon posting to the website.
